Terms and Conditions

Effective Date: 25 May 2026 Last Updated: 25 May 2026

These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“you”, “your”, “User”, or “Client”) and Digiaddabox Management Private Limited, a company incorporated under the Companies Act, 2013, bearing CIN U73100HR2025PTC133774, with its registered office at Unit No. 219, Second Floor, Tower B4, Spaze ITech Park, Gurugram, Haryana 122018, India, operating under the brand name “Digiadda” (hereinafter referred to as “Digiadda”, “we”, “us”, or “our”).

These Terms govern your access to and use of the website digiaddabox.com (the “Website”), any sub-domains, applications, communication channels, communities, and the services offered through them (collectively, the “Services”).

By accessing the Website, engaging with our team, paying for a Service, or otherwise using any part of the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, please do not access or use the Services.

This document is an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and does not require any physical or digital signature.

1. Definitions

  • “Agreement” means these Terms together with the Privacy Policy and any order form, proposal, statement of work, or invoice agreed between you and Digiadda.
  • “Content” means any text, graphic, image, audio, video, software, data, or other material made available through the Services.
  • “Deliverables” means the work product produced by Digiadda for you under a specific engagement.
  • “User-Generated Content” or “UGC” has the meaning given in Section 9.

2. Eligibility

You represent and warrant that:

  1. You are at least 18 years of age and competent to enter into a legally binding contract under the Indian Contract Act, 1872 (or under the applicable law of your jurisdiction, whichever sets the higher minimum age);
  2. If you are accessing the Services on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms;
  3. You will provide true, accurate, current, and complete information when interacting with us; and
  4. You will not use the Services for any unlawful or unauthorised purpose.

We reserve the right to suspend or terminate your access if we have reasonable grounds to believe that any of the above representations is untrue or has been breached.

3. About Our Services

Digiadda provides end-to-end growth systems for brands, including but not limited to digital marketing, content creation, social media management, paid advertising, brand strategy, and related online growth services. Engagements may be customised in scope, deliverables, duration, and pricing, and the specifics of each engagement will be communicated to you in writing (via email, proposal, invoice, or call summary) before commencement.

We reserve the right, at our sole discretion, to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

4. Account Registration and Communications

Certain Services may require you to register, complete an onboarding form, or share information over a call. You are responsible for maintaining the confidentiality of any login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

You consent to receive communications from us, including service-related notifications, transactional messages, and (where you have not opted out) marketing communications, via email, telephone, WhatsApp, SMS, or any other channel you have shared with us.

5. Fees, Billing, and Payment

5.1 Pricing

The fees for our Services are quoted on a custom basis, depending on the nature, scope, and duration of the engagement. The applicable fee, billing cycle, taxes (including GST where applicable), and payment schedule will be confirmed in writing before the engagement begins.

5.2 Payment Processor

All payments are processed through Razorpay Software Private Limited or other payment gateways we may designate from time to time. Payment details and business information required to set up billing may be collected during scheduled calls or through secure links shared by us.

5.3 Recurring vs. One-Time Billing

Depending on the offer, the engagement may involve:

  • A one-time payment for a defined deliverable or package; or
  • A recurring subscription billed at agreed intervals (e.g., monthly, quarterly, or annually).

By authorising a recurring payment, you authorise us and our payment processor to charge the agreed amount on the agreed billing date until the subscription is cancelled in accordance with these Terms or your specific engagement document.

5.4 Taxes

All fees are exclusive of applicable taxes, levies, or duties (including GST), which will be charged in addition at the prevailing rates.

5.5 Failed or Declined Payments

If a payment is declined, fails, or is reversed, we reserve the right to suspend or terminate access to the Services until the outstanding amount is cleared. We may also charge applicable late fees or interest as permitted by law.

6. No Refund Policy

All payments made to Digiadda are strictly non-refundable.

The Services we provide are intangible in nature - they involve strategic thinking, creative work, expert time, and execution support that cannot be returned, recalled, or unconsumed once delivered or initiated. Accordingly:

  • No refund, partial refund, credit, or chargeback will be entertained once a payment has been made, irrespective of whether the engagement has commenced, the deliverables have been consumed, or the results have met your expectations;
  • Subscription fees already paid are non-refundable on cancellation, although you will continue to have access for the remainder of the billing cycle for which payment was made;
  • Cancellation of a recurring subscription must be requested in writing to ritish@digiaddabox.com at least seven (7) days before the next billing date; and
  • Unauthorised chargebacks initiated through your bank or card issuer will be contested and may result in suspension of Services and recovery of dues through appropriate legal channels.

By making a payment, you expressly acknowledge and accept this no-refund policy.

7. No Guarantee of Results

Digiadda offers expertise, frameworks, strategy, and execution support - not guaranteed outcomes. Because our Services are intangible and inherently depend on a wide range of variables outside our control (including but not limited to your market, product, pricing, audience response, third-party platforms, algorithmic changes, ad costs, internal decisions, your team’s implementation, and external economic conditions), we make no representation, warranty, or guarantee - express or implied - about specific results, revenue, growth, leads, traffic, rankings, conversions, return on ad spend, or any other measurable outcome.

Any examples, case studies, testimonials, or projections shared by us are illustrative only and do not constitute a promise or assurance of similar results for your business. Your results will depend on factors that are unique to you, and you accept full responsibility for the business decisions you make based on our Services.

You acknowledge that you are engaging Digiadda’s expertise and effort, not buying a guaranteed outcome.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Website, the Services, and all materials made available through them - including text, graphics, logos, images, audio, video, software, frameworks, templates, methodologies, training materials, and the “Digiadda” brand - are the property of Digiadda or our licensors and are protected by copyright, trademark, and other applicable intellectual property laws of India and other jurisdictions.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services solely for your personal or internal business purposes, in accordance with these Terms. You may not:

8.2 Deliverables

Subject to full payment of all amounts due, intellectual property rights in custom Deliverables created specifically for you under an engagement will be assigned to you on the terms agreed in the relevant engagement document. Until full payment is received, all Deliverables remain the property of Digiadda. Pre-existing tools, frameworks, templates, know-how, and methodologies used to create the Deliverables remain the exclusive property of Digiadda.

8.3 Feedback

Any suggestions, ideas, or feedback you provide about the Services may be used by us without obligation, attribution, or compensation to you.

9. User-Generated Content

Digiadda may, from time to time, offer features that allow you to post, upload, share, or submit content - including comments, reviews, testimonials, images, videos, social media posts tagging us, or contributions within a community space (collectively, “User-Generated Content” or “UGC”).

9.1 Your Responsibility

You are solely responsible for your UGC. You represent and warrant that:

  • You own the UGC or have all necessary rights and consents to share it;
  • The UGC does not infringe any third party’s intellectual property, privacy, publicity, or other rights;

  • The UGC complies with all applicable laws and these Terms.

9.2 Licence to Us

By submitting UGC, you grant Digiadda a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, and transferable licence to use, reproduce, modify, adapt, translate, publish, distribute, publicly display, publicly perform, and create derivative works of such UGC, in any media now known or later developed, for any purpose related to our business (including marketing, promotion, training, and case studies), with or without attribution.

9.3 Moderation

We have the right, but not the obligation, to monitor, review, edit, remove, or refuse to publish any UGC at our sole discretion, without notice and for any reason, including content that we believe violates these Terms or applicable law.

10. Acceptable Use

You agree that you will not, and will not permit any third party to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Services, our systems, or other Users’ accounts;
  • Introduce viruses, malware, or any other harmful code;
  • Use the Services to send spam, unsolicited communications, or harvest personal data of others;
  • Scrape, mine, harvest, or otherwise collect any data from the Services using automated means;
  • Use the Services in a manner that violates the rights of any third party, including intellectual property and privacy rights;
  • Engage in any conduct that, in our reasonable view, harms or threatens to harm Digiadda, our Users, or the public.

Violation of this Section may result in immediate suspension or termination of access and may be reported to relevant authorities.

11. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services, including business strategies, financials, customer lists, processes, and credentials. Confidentiality obligations survive termination of these Terms.

12. Third-Party Links, Platforms, and Services

The Services may contain links to or rely on third-party websites, platforms, tools, or services (such as ad platforms, social media networks, analytics providers, and payment gateways). Digiadda does not control and is not responsible for the content, policies, availability, or practices of such third parties. Your use of such third-party services is at your own risk and subject to their own terms and policies.

The terms of the affiliate program - including eligibility, commission structure, payment terms, and code of conduct - will be governed by a separate affiliate agreement to be published on the Website.
